Scopio is not liable if a distributor does not delete your content on request. All rights to use your content granted to third parties prior to the termination of this Agreement remain valid under the terms of the license agreement. The use of content by third parties in a manner that is not authorized by the provisions of this Agreement. Scopio undertakes to compensate you, as well as, if you have them, your executives, directors, employees and agents, for any claim, liability, loss and damage (including reasonable legal fees and fees) resulting from a breach of a warranty or warranty or non-compliance with obligations or agreements under this Agreement. Scopio reserves the right to take over, at your expense, the exclusive defence of any case that would otherwise be reimbursed by you, and you agree to participate in the defence of such a claim by Scopio. LIASCOPIO LIMIT ARE NOT USED FOR A LOSS OR DAMAGE TO THE CONTENT OR MATERIAL SUBMITTED TO SCOPIO. SCOPIO`S MAX AGGREGATE LIABILITY (WHETHER IN WRONG, NEGLIGENCE, CONTRACT, OR OTHERWISE) FOR EACH CLAIM ARISING UNDER THIS AGREEMENT, THE USE OF CONTENT PROVIDED HEREIN BY SCOPIO, DISTRIBUTORS OR USERS, OR THE USE OF THE SERVICES OR WEBSITE, WILL NOT EXCEED THE FEES COLLECTED BY SCOPIO FOR THE CONTENT THAT IS THE SUBJECT YOU RECOGNIZE THAT SCOPIO WILL NOT BE RESPONSIBLE FOR THE MISUSE OF ITS CONTENT BY THIRD PARTIES. NEITHER PARTY WILL, UNDER ANY CIRCUMSTANCES, BE LIABLE TO THE OTHER FOR INDIRECT, CONSEQUENTIAL, INCIDENTAL, PUNITIVE, OR SPECIAL DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, EVEN IF SUCH PARTY HAS BEEN LEARNED OF THE LIKELIHOOD OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW FOR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU. TERMS AND TERMINATION 9) This agreement may be awarded to the successors, takers and divestitures of the producers. 10) This agreement is governed by Irish law and is subject to the jurisdiction of the Irish courts. This agreement applies to all digital media, including photos, illustrations, videos, audio and other audiovisual works made available or transmitted by your consent, as well as all metadata, tags, subtitles, information or publications that relate to the media you provide to us („Content”). Scopio facilitates the direct download of content from user-operated websites and other digital features, collects content from social media sites via our subscription platform („dashboard”) and licenses content directly to our marketplace website. We have the right, at our sole discretion and for whatever reason, to accept or reject content and remove it from our services. Definitions Content: digital media, including photos, illustrations, videos, audio and other audiovisual work made available to Contributor users, as well as all metadata, tags, subtitles, information or publications related to the content. Contributors: an authorized person or organization that makes its content available to users via Scopio services in accordance with a contribution agreement. Dashboard: A personalized tool made available to users as part of the subscription service to manage and facilitate the direct download of content from websites and other digital features they use. Standard License: contains emails, web pages, subscriber-operated social media sites, internal business usage or mobile applications operated by subscribers. Distributors: third-party vendors that market content worldwide from our Marketplace and to the following address:
